ACCEPTANCE OF TERMS By accessing or using Tapadik’s services (“Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services. Tapadik (“Tapadik,” “we,” “us,” or “our”) reserves the right to modify these Terms at any time. Continued use of our Services after changes constitutes acceptance of the modified Terms. 2. SERVICES PROVIDED Tapadik provides digital empowerment services including but not limited to: Website design and development Digital strategy consulting Content creation and management Branding and identity services SEO and digital marketing AI solution Business Strategy Custom digital solutions Specific services, deliverables, timelines, and pricing will be outlined in individual Service Agreements or Proposals. 3. CLIENT RESPONSIBILITIES 3.1 Information & Materials You agree to: Provide accurate, complete, and timely information necessary for project completion Supply all required content, assets, and materials in agreed-upon formats Respond to requests for feedback within reasonable timeframes Ensure you have legal rights to all materials provided to Tapadik 3.2 Cooperation You agree to cooperate with Tapadik throughout the engagement, including: Attending scheduled meetings and calls Providing timely approvals and feedback Designating an authorized representative for decision-making 3.3 Third-Party Services You are responsible for: Obtaining and maintaining necessary third-party accounts (hosting, domains, platforms) Paying third-party fees directly to vendors Providing Tapadik with necessary access credentials when required 4. PAYMENT TERMS 4.1 Fees & Invoicing All fees are specified in the Service Agreement or Proposal Invoices are due within the payment terms specified (typically net 15-30 days) Late payments may incur a fee of 1.5% per month or the maximum allowed by law We accept payment via bank transfer, credit card, or other agreed-upon methods 4.2 Project-Based Work Initial deposit (typically 30-50%) is required before work begins Progress payments are due at specified milestones Final payment is due before project delivery and launch 4.3 Retainer & Subscription Services Monthly retainers are billed in advance Subscription services auto-renew unless cancelled with proper notice Unused hours/services typically do not roll over unless specified 4.4 Expenses & Additional Costs Reasonable expenses will be billed with prior approval Rush fees may apply for expedited work Scope changes may result in additional charges 5. INTELLECTUAL PROPERTY 5.1 Client Materials You retain ownership of all materials provided to Tapadik. By providing materials, you grant Tapadik a non-exclusive license to use them solely for delivering Services. 5.2 Tapadik Tools & Methods Tapadik retains ownership of all proprietary tools, methodologies, templates, and processes used in delivering Services. 5.3 Deliverables Upon full payment: You receive ownership of final custom deliverables created specifically for you Stock images, fonts, or third-party elements remain subject to their original licenses Tapadik retains the right to use project elements in portfolios and marketing 5.4 Pre-Existing Materials Any pre-existing intellectual property remains the property of its respective owner. 6. CONFIDENTIALITY Both parties agree to: Keep confidential information private and secure Use confidential information only for the purposes of this engagement Not disclose confidential information without prior written consent Confidential information does not include information that is: Publicly available through no fault of the receiving party Already known to the receiving party Independently developed Required to be disclosed by law 7. WARRANTIES & DISCLAIMERS 7.1 Our Warranties Tapadik warrants that: Services will be performed with reasonable care and skill We have the right to provide the Services Deliverables will substantially conform to specifications in the Service Agreement 7.2 Disclaimers EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: Merchantability or fitness for a particular purpose Specific results or outcomes (e.g., traffic, rankings, conversions) Uninterrupted or error-free service Third-party platform performance or availability 8. LIMITATION OF LIABILITY 8.1 Limitation Amount To the maximum extent permitted by law, Tapadik’s total liability for any claims arising from Services shall not exceed the total fees paid by Client in the 12 months preceding the claim. 8.2 Excluded Damages Tapadik shall not be liable for: Indirect, incidental, consequential, or punitive damages Lost profits, revenue, data, or business opportunities Third-party claims Force majeure events beyond our reasonable control 8.3 Essential Purpose These limitations apply even if remedies fail their essential purpose. 9. INDEMNIFICATION You agree to indemnify and hold harmless Tapadik from any claims, damages, or expenses (including legal fees) arising from: Your breach of these Terms Materials or information you provide Your use of deliverables or Services Violation of third-party rights Your violation of applicable laws 10. TERM & TERMINATION 10.1 Term These Terms remain in effect for the duration of our engagement and as necessary to enforce obligations. 10.2 Termination for Convenience Either party may terminate with written notice: Project-based work: 14 days’ notice (Client pays for work completed plus 50% of remaining balance) Ongoing services: 30 days’ notice (prorated refunds may apply) 10.3 Termination for Cause Either party may terminate immediately if the other party: Materially breaches these Terms and fails to cure within 10 days Becomes insolvent or enters bankruptcy Engages in illegal or unethical conduct 10.4 Effect of Termination Upon termination: Client pays all outstanding invoices Tapadik provides deliverables for paid work Confidentiality obligations survive Licenses granted terminate except for fully paid deliverables 11. REVISIONS & CHANGE REQUESTS 11.1 Included Revisions Each project includes a specified number of revision rounds as outlined in the Service Agreement. 11.2 Additional Revisions Revisions beyond the agreed scope will be billed at our hourly rate or as a change order. 11.3 Scope Changes Significant changes to project scope require a written change order with adjusted timeline and fees. 12. HOSTING, MAINTENANCE & SUPPORT 12.1 Hosting Unless otherwise agreed, Client is responsible for securing and paying for web hosting services. 12.2 Maintenance Ongoing maintenance requires a separate agreement. Without maintenance coverage: We provide limited post-launch support (typically 30 days) Updates and fixes after this period are billed separately 12.3 Third-Party Updates We are not responsible for issues caused by third-party platform updates, hosting changes, or plugin conflicts unless covered by a maintenance agreement. 13. DISPUTES & GOVERNING LAW 13.1 Governing Law These Terms are governed by the laws of [Your Jurisdiction] without regard to conflict of law principles. 13.2 Dispute Resolution Before legal action, parties agree to: Attempt good-faith negotiation Consider mediation Arbitration (if agreed upon) 13.3 Venue Any legal action shall be brought in the courts of [Your Jurisdiction]. 14. Tapadik may assign to affiliates or in connection with a merger or sale. 14.6 Independent Contractors Parties are independent contractors. Nothing creates a partnership, joint venture, or employment relationship. 14.7 Force Majeure Neither party is liable for delays due to circumstances beyond reasonable control. 14.8 Notices Notices must be in writing and sent to the addresses specified in the Service Agreement. 15.
